"I hired Status Group International Corporation (SGIC) to secure a $3 million investment for my company, Immumem Therapeutics. I paid SGIC a total of $7,500 based on promises of investment facilitation. However, SGIC failed to deliver any tangible results, provided contradictory and misleading information, and operated with a fee structure that was not compliant with SEC regulations. After I terminated the agreement due to these deceptive practices, SGIC responded to a negative review by threatening a libel lawsuit and a public social media campaign to damage Immumem's reputation."

  • 06-17-2025 — Immumem's capital request of $500,000 was noted as below SGIC's $1,000,000 threshold
  • 06-19-2025 — Immumem submitted the DD fee (initially $5,100 including a 2% fee, later wired). The executed agreement was dated June 19th
  • 06-20-2025 — SGIC confirmed receipt of the payment.
  • 07-06-2025 — Immumem sent a new advisor agreement, stating that a success-based payment would violate SEC laws since SGIC was not SEC-registered
  • 07-07-2025 — SGIC's understanding of the informal agreement included a $2,500 payment due upon signing (the difference for the first quarter). Immumem sent a $2,500 payment and confirmation. Total payments made: $7,500
  • 07-17-2025 — Allan Goldner confirmed that Cynthia had confirmed the Due Diligence (DD) was done
  • 07-28-2025 — SGIC stated the investment group was reviewing the information and would be preparing the facilitation agreement next, followed by a Term Sheet.
  • 08-02-2025 — SGIC stated that other companies had signed facilitation agreements and were awaiting their Term Sheets
  • 08-15-2025 — I noted a contradiction in SGIC's statements (previously awaiting term sheet, then awaiting facilitation agreement again). Immumem demanded transparency by EOD or they would terminate the relationship
  • 09-15-2025 — I officially terminated the continuation of the agreement due to "deceptive practices and your deliberate attempts to defraud" and reported the scheme to law enforcement.
  • 10-12-2025 — Allan Goldner explicitly acknowledged the negative review sent to the Nevada Better Business Bureau. He threatened to file a Libel suit against Immumem and its company. He also stated they would "consider using social media to caution others" about Immumem's "inappropriate activities and illegal tactics", potentially exposing Immumem to reputational defamation

  • "Please be advised that Shubh Gupta and his company, Immumemtx, are currently subjects of ongoing internal, civil, and criminal investigations regarding alleged fraudulent activities. It is suspected that Mr. Gupta has attempted to circumvent established internal controls to secure improper investments and has engaged in defamatory conduct against this firm through social media, including efforts to repudiate executed contractual agreements.
    This firm is actively pursuing civil litigation against Mr. Gupta and Immumemtx and reserves the right to include any third-party platforms found to be complicit in these actions. Legal counsel has been retained to evaluate the pursuit of criminal charges.
    All parties are hereby cautioned to refrain from entering into any professional or financial relationship with Shubh Gupta or Immumemtx.
